Terms of Service

1. The agreement

These Terms of Service (“Terms”) govern your use of the website at 10xsync.com and any services delivered by 10xsync (“we,” “us,” “our”). By using our site, signing an order form, or paying an invoice, you (“Client,” “you”) agree to these Terms. If you don’t agree, please don’t use the services.

These Terms work together with your signed order form or proposal. If anything in your order form conflicts with these Terms, the order form wins for that specific point.

Effective date: January 1, 2024. Last updated: January 1, 2024.

2. What we do, and what we don’t

We provide AI-powered marketing services for private-pay home care agencies in the United States. Depending on your tier, that includes some combination of local SEO, Google Ads, Google Business Profile management, AI phone receptionist, missed-call SMS recovery, AI caregiver chatbots, review generation, email and SMS nurture, and conversion rate optimization.

What we are not: we are not a healthcare provider, a law firm, a clinical advisor, an HR consultant, or a Medicare-certified home health agency. Nothing we deliver should be read as legal, clinical, regulatory, or HR advice. You’re responsible for running your agency in compliance with all state and federal rules, including any state-specific home care licensure, employment law, and wage-and-hour requirements.

We don’t accept clients outside the United States, and we don’t work with Medicare-certified home health, hospice, or skilled nursing agencies under this offer.

3. Fees and payment

Our current monthly tiers are Starter at $1,995/month, Engine at $2,995/month, and Receptionist-only at $497/month. Setup fees range from $250 to $1,000 depending on tier and are billed at signing. Ad spend (Google, Meta, etc.) is separate and billed directly to your card by the ad platform, we don’t mark it up.

Monthly fees are billed in advance on the same calendar day each month, starting on your service start date. We accept credit card and ACH. Invoices are due on receipt; balances unpaid after 10 days may incur a 1.5% monthly late fee and may pause delivery until cleared.

Setup fees and any work already performed are non-refundable. Monthly fees are non-refundable once the billing period has begun, we don’t pro-rate partial months. If we materially fail to deliver what’s listed in your order form for a given month, contact us and we’ll make it right.

4. Term and cancellation

Your engagement runs month-to-month after the initial setup. There is no minimum contract length and no early termination fee. Either side may cancel with 30 days’ written notice sent to hello@10xsync.com (or to your designated contact at your agency).

During the 30-day notice period, we continue delivering services and you continue paying. After cancellation, we’ll provide a clean handoff: we hand back ownership of your Google Business Profile, Google Ads account, Meta account, and any other platform we manage on your behalf. You keep all reviews, all content, all CRM contacts, and all historical data we generated for you.

Templates, prompts, automation logic, and proprietary AI configurations we built remain our intellectual property and don’t transfer with cancellation. We’ll never hold your customer data hostage.

5. Performance disclaimers

We work hard, we measure obsessively, and we have a track record. We do not guarantee specific lead volumes, specific intake counts, specific revenue, or specific Google rankings. Anyone in this industry who guarantees those things is either misleading you or about to.

Marketing results depend on factors outside our control: your local market size and competition, your service-area saturation, your ad budget, your pricing, your reputation in the community, how quickly your office returns calls, how your caregivers show up on intake, and broader changes in Google’s algorithm or ad auction dynamics. A great campaign with a slow intake desk still loses to a mediocre campaign with a sharp one.

Any forecasts, projections, or “typical results” we share are illustrative, not promises.

6. Your obligations

For us to deliver, you agree to:

Give us accurate information about your agency, service areas, licensure, services, pricing, and team. If anything material changes, tell us.

Respond to questions within 5 business days. We try to keep asks short and specific, but campaigns stall when approvals don’t come back. If you go dark for more than 10 business days on a blocking item, delivery timelines reset.

Maintain authorized access to your Google Business Profile, Google Ads, Meta Business Manager, website CMS, domain registrar, and any other platforms we need to operate. Don’t revoke our access without notice, it breaks things downstream.

Handle your own intake. We deliver the lead. You handle the consultation, the assessment, the caregiver match, and the billing. If you can’t return calls within an hour during business hours, our results will suffer no matter what we do upstream.

7. Intellectual property

You own your brand, your logos, your customer data, your reviews, your testimonials, and the final marketing copy and creative we produce specifically for your agency under this engagement.

We own our software, our AI prompts and configurations, our internal playbooks, our reporting templates, our website and funnel templates, our training data, and any tooling or automation we build. We grant you a non-exclusive, non-transferable license to use the deliverables produced for you, for your agency’s own marketing purposes, for as long as you remain a client and after.

You may not resell, sublicense, or repackage our tooling or templates to other agencies.

8. Confidentiality and PHI

We treat your business information as confidential, financials, intake numbers, internal operations, strategic plans, and anything else not publicly available. You agree to do the same with our pricing, playbooks, and proprietary methods. This mutual confidentiality obligation is built into the engagement and survives cancellation for three years.

No PHI, ever. We do not collect, store, or process Protected Health Information as defined under HIPAA. Lead forms, chatbots, and intake tools we deploy are designed to capture inquiry-level information only, name, contact, general care need, location. Do not paste medical records, diagnoses, medications, or other PHI into any system we operate. If you need a BAA-covered platform for clinical workflows, that’s outside this engagement.

9. Limitation of liability

To the maximum extent allowed by law, our total cumulative liability to you for any claim arising out of or related to these Terms or our services is capped at the total fees you paid us in the one (1) month immediately preceding the event giving rise to the claim.

Neither party is liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if advised of the possibility. These limits apply regardless of the legal theory (contract, tort, statute, or otherwise) and survive termination.

10. Indemnification

You agree to defend and indemnify us against any third-party claim arising from your agency’s operations, your caregivers’ conduct, your compliance with home care regulations, false or misleading information you provided to us, or your use of our deliverables in a way that violates law or third-party rights.

We agree to defend and indemnify you against any third-party claim that our software or templates, as delivered, infringe a U.S. intellectual property right. The indemnified party must notify the other promptly and cooperate in the defense.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Before either side files anything formal, we both agree to spend 30 days trying to resolve the dispute in good faith over a call or email. If that doesn’t work, any remaining dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in Wilmington, Delaware (or remotely by mutual agreement). The arbitrator’s decision is final and enforceable in any court of competent jurisdiction.

Small-claims exception: either side may bring a qualifying claim in small-claims court instead of arbitration. No class actions: all disputes are resolved on an individual basis.

12. Changes to these terms

We may update these Terms from time to time. Minor edits, typos, clarifications, contact updates, take effect when posted. Substantive changes (anything that materially affects your fees, your cancellation rights, your data, or our liability) require email notice to your designated contact and take effect 30 days after that notice. If you don’t agree to a substantive change, you may cancel under Section 4 before it takes effect.
